These Terms and Conditions ("Terms") govern your use of Prospi.ai ("Service") operated by Kodeful LLC ("Company", "we", "us", or "our"), a company incorporated in the United States with registered address at 30 North Gould Street, Sheridan, WY 82801, United States.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Description of Service
Prospi.ai is an AI-powered cold email Software as a Service (SaaS) platform that provides:
Lead database access and management
Email finder and verification services
Email sending capabilities
Inbox management tools
AI-powered email template generation
Integration with third-party services including Gmail, Outlook, Slack, and webhook notifications
2. Account Registration and Eligibility
2.1. You must provide accurate, current, and complete information during registration.
2.2. You are responsible for maintaining the confidentiality of your account credentials.
2.3. You must notify us immediately of any unauthorized use of your account.
2.4. One person or entity may not maintain multiple accounts.
3. Subscription Plans and Billing
3.1. Subscription Types: We offer multiple subscription plans with monthly and annual billing cycles, each with different feature sets and credit allocations.
3.2. Google Workspace Integration: We offer Google Workspace inbox management services with separate monthly billing.
3.3. Payment: Subscription fees are charged in advance on a recurring basis. Payment must be made by the due date to maintain service access.
3.4. Failed Payments: If payment fails, we may suspend your account until payment is resolved. Upon successful payment, your account will be reinstated.
3.5. Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.
4. Credits System
4.1. Credit Usage: Credits are consumed when using email finder and verification services. One valid email verification equals one credit.
4.2. Credit Allocation: Credits are allocated based on your subscription plan and billing cycle.
4.3. Credit Expiration: Unused credits do not roll over to the next billing period and will expire at the end of each billing cycle.
4.4. Subscription Expiration: If your subscription expires, you retain access to the platform but will not receive new credits until subscription renewal.
5. Free Trial
5.1. We offer a free trial period during which you can access platform features without charge.
5.2. During the free trial, you will not receive credits for email finding and verification services.
5.3. Trial limitations and duration are subject to change at our discretion.
6. Acceptable Use Policy
6.1. Permitted Use: You may use our Service only for legitimate business purposes, specifically for sending personalized and relevant emails to generate leads.
6.2. Prohibited Activities:
You agree not to:
Send emails containing illegal content, threats, harassment, or malicious material
Use the Service for any unlawful purpose or in violation of applicable laws
Attempt to gain unauthorized access to the Service or other users' accounts
Interfere with or disrupt the Service or servers
Use the Service to collect or harvest personal information without consent
Violate any applicable email marketing laws including CAN-SPAM Act and GDPR
Send insulting, defamatory, or abusive content
Exploit or attempt to exploit the platform in any unauthorized manner
6.3. Sending Limits: Email sending is subject to daily limits based on your subscription plan and the number of connected email accounts (maximum 25 emails per day per connected email account).
6.4. Compliance: You are responsible for ensuring your use of the Service complies with all applicable laws and regulations, including but not limited to CAN-SPAM Act, GDPR, and other email marketing regulations.
7. Data Collection and Privacy

7.2. Tracking: We use Facebook Pixel and other tracking technologies to improve our Service and for analytics purposes.
7.3. Data Sharing: We do not share your personal data with third parties except as required by law or as necessary to provide the Service.
7.4. Data Retention: We retain your data as long as your account is active or as needed to provide services, comply with legal obligations, resolve disputes, and enforce agreements.
7.5. Privacy Policy: Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property Rights
8.1. The Service, including all content, features, and functionality, is owned by Kodeful LLC and is protected by copyright, trademark, and other intellectual property laws.
8.2. You retain ownership of content you create using the Service, including email templates and campaigns.
8.3. By using the Service, you grant us a limited, non-exclusive license to use your content solely for the purpose of providing the Service.
9. Third-Party Integrations
9.1. Our Service integrates with third-party platforms including Gmail, Outlook, Slack, and others.
9.2. Your use of third-party integrations is subject to the respective third parties' terms of service and privacy policies.
9.3. We are not responsible for the availability, functionality, or security of third-party services.
10. Service Availability and Support
10.1. We strive to maintain high service availability but do not guarantee uninterrupted access to the Service.
10.2. We may temporarily suspend the Service for maintenance, updates, or technical issues.
10.3. Support is provided based on your subscription level and may include email support, documentation, and other resources.
11. Account Suspension and Termination

Violate these Terms or our Acceptable Use Policy
Engage in fraudulent or illegal activities
Exploit the platform or attempt to circumvent usage limits
Send malicious, harmful, or inappropriate content
Fail to pay subscription fees when due
11.2. Termination by You: You may terminate your account at any time by canceling your subscription through your account settings.
11.3. Data Access: Following account termination, you may retain access to your data for a reasonable period, but we reserve the right to delete data after account closure.
12. Disclaimers and Limitations of Liability
12.1. Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind.
12.2. No Guarantees: We do not guarantee the accuracy, completeness, or reliability of email verification, lead data, or deliverability rates.
12.3. Limitation of Liability: To the maximum extent permitted by law, Kodeful LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
12.4. Maximum Liability: Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Kodeful LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses arising from your use of the Service or violation of these Terms.
14. Governing Law and Jurisdiction
14.1. These Terms are governed by and construed in accordance with the laws of the United States and the State of Wyoming.
14.2. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Wyoming, United States.
14.3. You consent to the personal jurisdiction of such courts and waive any objection to venue.
15. Changes to Terms
15.1. We reserve the right to modify these Terms at any time.
15.2. We will notify you of material changes by email or through the Service.
15.3. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
16. General Provisions
16.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kodeful LLC regarding the Service.
16.2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
16.4. Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
